Matthew Fosheim is a real estate attorney who focuses his practice on private equity and general business transactions, including the acquisition, financing and development, leasing, and disposition of commercial real estate.
He represents institutional investors, developers, and private equity sponsors in transactions involving a broad range of asset classes, including office, industrial, multifamily, and mixed-use properties. His practice also includes advising on energy-related real estate transactions, such as the acquisition, development, and leasing of midstream infrastructure, oil and gas assets, and renewable energy projects. Matthew's practice also involves work with clients on data center development and leasing matters, with a focus on service-level agreements, power purchase arrangements, and infrastructure-critical terms.
Matthew regularly counsels clients on corporate lending and restructuring matters, including the negotiation and documentation of credit agreements, securitizations, forbearance agreements, refinancing and payoff arrangements, as well as other ancillary documents. He also prepares entity formation documents for private and joint ventures in connection with leveraged acquisitions and real estate transactions.
His experience includes negotiating purchase and sale agreements, ground leases, and security instruments related to the debt financing of commercial office properties. He conducts real estate due diligence in connection with mergers and acquisitions, reviews national real estate portfolios, and drafts disclosure schedules tailored to the structure and risk profile of each transaction.
Matthew also drafts and maintains lease forms for office, retail, and industrial assets across multiple states. He frequently negotiates commercial leases on behalf of institutional landlords and tenants and advises on complex issues related to market terms and deal structures. His data center leasing work includes drafting and negotiating mission-critical provisions related to data center leases, with a particular focus on service-level agreements, redundancy standards, power purchase arrangements, and operational continuity.
Before joining the firm, Matthew served as a judicial clerk for Justice Scott Field of the Fifteenth Court of Appeals.
