Rama Douglas is an accomplished mergers and acquisitions, finance and restructuring attorney who regularly advises corporate clients, private equity firms and high-net-worth individuals on complex strategic transactions. He provides practical and strategic guidance that not only helps clients structure complex deals and manage risk, but also ensures that transactions are aligned with business objectives while meeting regulatory requirements.
Rama’s practice includes advising on a wide range of high-value debt financing matters, including term loans, asset-based facilities, revolving credit arrangements, and real estate financings. His strong negotiation skills and meticulous approach ensure that he develops financing solutions that not only protect his clients’ interests but also advance their strategic objectives. He frequently counsels boards and management teams on securities compliance issues, including disclosure obligations, shareholder proposals, and private placements.
Prior to joining the firm, Rama practiced at leading international law firms, where he counseled major financial institutions on corporate and financial matters. His experience encompasses securities regulation, corporate governance, and compliance considerations related to emerging financial technologies, including cryptocurrency. He has also represented creditors in significant Chapter 11 bankruptcy proceedings, real estate transactions, and complex restructurings, ensuring clients preserve and maximize value in distressed scenarios.
Away from the Office
Rama enjoys coaching his son's flag football team as well as serving at his local church, contributing to various outreach and support efforts. In addition, he provides pro bono legal counsel to charitable organizations, combining his professional skills with a commitment to giving back.
