Rama Douglas is a finance and mergers and acquisitions attorney who advises corporate clients, private equity sponsors and financial institutions on complex strategic transactions, including leveraged and acquisition financings and related corporate transactions. He works closely with management teams, sponsors and lenders to structure, negotiate and execute transactions that align legal frameworks with commercial objectives.
Rama regularly advises on high-value debt financings, including syndicated term loan and revolving credit facilities, asset-based lending arrangements and sponsor-backed acquisition financings. His experience includes negotiating commitment letters and definitive credit documentation, coordinating lender and counterparty processes and guiding transactions from term sheet through closing. He has advised on refinancing transactions and amendments, including covenant amendments and related documentation updates, in both performing and stressed environments, with a focus on efficient execution and thoughtful risk allocation.
In addition to his financing practice, Rama advises clients on strategic acquisitions and dispositions, particularly where financing structures are integral to transaction execution. He also counsels boards and management teams on governance and compliance matters that arise in connection with strategic and financing transactions.
Prior to joining the firm, Rama practiced at leading international law firms, where he advised financial institutions and creditor groups on secured credit facilities, real estate financings and complex restructurings. He represented lenders and creditors in significant Chapter 11 proceedings and out-of-court workouts, contributing to restructuring support agreements and plan documentation in complex capital structures.
Away from the Office
Rama is an active father of three and enjoys coaching youth sports, where he emphasizes discipline, teamwork and resilience. He is involved in his local church community and values mentorship, service and long-term community engagement.
